Key Roles and Responsibilities:
Operating as the automotive interface, supporting this group M&A team on “winning” an acquisition and subsequently managing all elements of integration and day to day operations for a handover period post acquisition
Lead a team of professionals supporting Mergers and Acquisitions transactions from initial term sheet draft through financial due diligence, contract structuring, integration planning and execution.
Manage broad based individuals who lead various operational functions in the development and formulation of industry, market, clinical / technical and, financial analysis, to support proposed investments and structure deals.
Assist with the creation of all phases of a business case (market analysis, strategic fit, financial models, and integration plans) and the communication of the business case to all internal stakeholders, including Business C-level suite of executives.
Monitor finance readiness plans through implementation to identify the most optimal path to integration and identify opportunities to increase efficiencies.
Work closely with Finance teams to monitor post-agreement close activities against goals, projections and budgets established during the agreement diligence process.
Work with Group M&A to evaluate and maintain a solid acquisition target pipeline of companies; qualify and quantify potential targets.
Ensuring all the regulatory aspects of a transaction has been considered.
Working closely with Corporate M&A team and Group Business Development and Group Finance Treasury functions based in Dubai. This will require both intense focus and effective communications with the management of acquisition targets, and internal due diligence team leaders.
Provide assistance in managing cross-functional teams for acquisition processes including areas of due diligence (buy-side) strategic fit, valuation, synergy identification, etc.
Direct outside advisors and consultants to ensure proper financial diligence, legal review & documentation, tax structuring, etc.
Ability to negotiate with OEM/Principals to ensure the “change of Control” of any franchise/ distributor/ importer/ assembler agreement.
Manage internal and external financial diligence teams through the delivery of a summary of findings, teaming closely with Corporate Development, Legal, and business leaders to evaluate and provide independent advice and perspective on agreement-making opportunities.
Leverage expertise to create finance readiness plans to support product launches, new business models, business in new countries, and other projects.
Manage key deliverables including creating analysis, overseeing execution and identifying next steps in process flow.
Play a key role in all of business M&A activities and provide general transaction and analytic support to M&A team including the creation of summaries and presentation materials to communicate recommendations to senior management and other internal stakeholders.
Build and maintain productive relationships with other corporate executives and business unit officers, with target company management teams, and with industry and professional networks that can assist in development initiatives.
Conduct research and analysis in evaluating potential mergers and acquisitions, investments and strategic growth opportunities.
Post-acquisition assume management control until the safe handover of the business to a recruited business leader
Minimum Qualifications and Knowledge:
Master’s degree in Accounting, Economics, Engineering or Finance.
Your experience should include proven domain expertise in automotive environments, including a thorough understanding of principle relationship management and negotiation and including aspects of general management to include sales, service, parts, body-shop and assembly.
Knowledge of Mergers and Acquisitions, including pre-deal operations due diligence, integration planning, synergy and cost savings analysis, and/or post-close transformation.
Proven abilities related to project management with a merger or acquisition or similar project with multiple stakeholders in a fast paced working environment.
Ability to manage and conduct qualitative and quantitative analysis on complex data.
Expert knowledge of financial statements, capital planning, investment strategy, and financial metrics for investment determination.
Strong commitment to producing high quality work in a fast-paced environment with multiple concurrent assignments.
Ability to travel extensively including long periods out of country.
Extensive knowledge of all Microsoft Office Applications. Advanced Microsoft Excel and PowerPoint skills required.
Post-acquisition including but not limited to recruiting key resource and managing the business in the intern for a period of up to 12 months.
Strong relationships and the ability to leverage those relationships with targets, clients, investment bankers, financial sponsors etc and colleagues in international offices.
Interest in international business development, particularly MEA and Asia-related activities.
